1. Your agreement with Hensel
These Terms & Conditions (the “Terms”) govern your access to hensel.ai and the Hensel applications, previews and related services (together, the “Service”). The Service is operated by Wagner Cloud Labs LLC (“Hensel,” “we,” “us” or “our”). “You” means the person using the Service or the organization that person is authorized to represent.
By creating an account, signing in or otherwise using the Service after these Terms are made available to you, you agree to these Terms. If you use Hensel for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.
Our Privacy Policy explains how personal information is handled. Acknowledging that policy does not provide blanket consent to optional marketing or other processing that requires a separate choice.
2. Eligibility and accounts
Hensel is intended for business use by people aged 18 or older who can enter into a binding agreement. You must provide accurate account information, keep your login credentials secure and promptly notify us if you suspect unauthorized access.
You are responsible for activity by people you authorize to use your account or workspace. Your organization’s administrators may manage access, settings and information within its workspace. You must not impersonate another person or access a workspace without permission.
3. The Service and previews
Hensel helps teams understand their business, discover potential customer companies, organize information from public and connected sources, evaluate business signals, research accounts and prepare outreach drafts. Features depend on the version, configuration and integrations available to your workspace.
Public previews and trial features have usage limits and may expire. A preview match is an initial research suggestion, not a verified lead or a guarantee that a company needs your offering. Demonstrations, sample campaigns and pricing previews are illustrative unless expressly identified as an available purchase or live action.
We may improve, change or discontinue features and apply reasonable limits to protect the Service. We will provide reasonable notice of changes that materially reduce a paid service when practicable, subject to any separate agreement. We do not promise uninterrupted availability or a service level unless agreed in writing.
4. AI outputs and human review
The Service uses AI and third-party information. Outputs can be inaccurate, incomplete, outdated or similar to outputs produced for other users. A source link, score or signal does not establish that an inference is true, that a person is a decision maker, or that a recipient has agreed to be contacted.
You must assess the accuracy, relevance and appropriateness of results before relying on them, sharing them or contacting anyone. Verify material facts, contact details and any claims included in a message. Outputs are not legal or other professional advice and must not be used to make decisions about employment, credit, housing or other legally significant matters affecting individuals.
Hensel currently prepares editable outreach drafts and records sales activity. Reviewing or approving a draft does not itself send a message. We do not guarantee qualified opportunities, deliverability, responses, revenue or any particular business outcome.
5. Your content and permissions
You retain your rights in information, documents, instructions and other material you submit to the Service (“Your Content”). You represent that you have the rights and permissions needed to provide it and authorize its use as described in these Terms and the Privacy Policy.
You grant Hensel a non-exclusive, worldwide license to host, copy, process, transmit and display Your Content only as needed to provide, maintain and secure the Service, carry out your instructions and meet legal obligations. This includes processing by service providers used to deliver requested features.
As between you and Hensel, you may use outputs generated for your workspace for lawful business purposes, subject to these Terms and any rights of third parties. This does not transfer ownership of third-party content, guarantee that an output is protectable by intellectual property law, or grant exclusive rights to an output.
6. Responsible research and outreach
You are responsible for how you use research, professional contact information and messages, including identifying an appropriate legal basis, providing required notices, obtaining consent where required, honoring objections and opt-outs, and complying with privacy, direct-marketing and platform rules.
Public availability of information does not mean it can be used for any purpose. Access to a contact record is not permission to send unsolicited messages. Do not use Hensel to evade a recipient’s preferences, a platform restriction or a legal obligation.
Do not submit sensitive personal information, government identifiers, payment-card details, health information or information about children unless we have expressly agreed in writing to support that use with appropriate safeguards.
7. Acceptable use
You must not use the Service to:
- Break the law, infringe rights, commit fraud, harass people or distribute deceptive, discriminatory or abusive material.
- Upload malware, interfere with the Service, gain unauthorized access or test security without authorization.
- Bypass access controls, quotas, usage limits, account restrictions or safeguards.
- Collect or disclose information you have no right to use, or misrepresent AI-generated content as independently verified.
- Resell access to the Service or systematically extract it to build a competing service, except as expressly permitted by us or by applicable law.
8. Third-party services
Hensel may use or connect to hosting, authentication, AI, research and enrichment providers. Their availability, data quality and supported functionality can change. Third-party websites and services have their own terms and privacy practices.
When you connect an account or enable an integration, you authorize the access needed for that feature. You must have permission to connect it and comply with its terms. We are not responsible for independently operated services or content, except to the extent applicable law makes us responsible.
9. Fees and purchase terms
Published pricing previews do not, by themselves, create a paid subscription or authorize a charge. If you purchase a paid feature, the applicable price, billing period, renewal, cancellation and any provider-credit charges must be disclosed in the purchase flow or a separate order you accept.
You are responsible for fees and applicable taxes expressly agreed to in that purchase. Any mandatory cancellation or refund rights remain available. Separate signed commercial terms control if they conflict with these Terms on the same subject.
10. Hensel’s intellectual property
Hensel and its licensors retain rights in the Service, software, design, trademarks and related materials, excluding Your Content and third-party content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your organization’s business purposes.
If you voluntarily provide product feedback, you allow us to use it to improve the Service without compensation or an obligation to implement it. This permission does not authorize disclosure of your confidential information or override the Privacy Policy.
11. Suspension and termination
You may stop using the Service at any time and contact us to request account closure. If your account belongs to an organization, its administrator may need to authorize workspace-wide changes.
We may restrict or suspend access when reasonably necessary to address a breach of these Terms, security risk, unlawful use, non-payment of agreed fees or a legal requirement. Where practicable, we will provide notice and an opportunity to resolve the issue. We may terminate access for a serious or repeated breach or if we discontinue the Service.
On termination, your right to use the Service ends. Information is handled as described in the Privacy Policy and any applicable agreement. Provisions that by their nature should survive, including accrued payment obligations, intellectual property, limitations of liability and dispute provisions, continue to apply.
12. Disclaimers
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service or third-party information will be error-free, secure in every circumstance or suitable for every business purpose.
Nothing in these Terms excludes a warranty or statutory right that cannot lawfully be excluded.
13. Limitations of liability
To the maximum extent permitted by applicable law, neither party is liable to the other for indirect, incidental, special or consequential damages, or loss of profits, revenue, business opportunities or goodwill arising from these Terms or the Service.
To the maximum extent permitted by applicable law, Hensel’s aggregate liability arising from these Terms or the Service will not exceed the greater of US$100 or the fees you paid Hensel for the Service during the twelve months immediately before the event giving rise to the claim.
These limitations do not limit liability for fraud, willful misconduct, or any other liability that applicable law does not allow to be limited. They do not restrict mandatory rights or remedies available to you.
14. Changes, disputes and general terms
We may update these Terms. We will change the date above and provide appropriate notice of material changes, such as through the Service or your account email. Changes apply prospectively, and we will seek additional agreement when required by law. If you do not agree to an update, stop using the Service before it takes effect.
Please contact us first so we can try to resolve a concern. Nothing in these Terms prevents either party from seeking relief in a court with competent jurisdiction or limits any mandatory protection under the law that applies to you. These Terms do not impose mandatory arbitration or waive statutory consumer rights.
If a provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. You may not transfer this agreement without our consent, except as permitted by law. We may transfer it as part of a merger, acquisition or sale of the relevant business, subject to your applicable rights.
